论外资并购与中国本土私募股权投资的发展

近年来发生在我国的外商并购投资中,外资私募股权基金的并购活动日趋活跃。其在目的、方式、发展预期以及参与管理的程度等四个方面不同于一般跨国公司的产业并购,对我国经济产生了品牌消灭、行业控制、短期效益以及内资企业外资化等消极影响。克服这些消极影响的措施之一,就是大力发展中国本土的私募股权投资行业。

In recent years,M＆ A of domestic companies by foreign private equity funds prevails in China.As is different from the normal M＆ A in its aim and form of the transaction、 anticipation and management of the target company.These M＆ A activities do harm to China economy in many aspects including the loss of brands,domination of domestic industries,pursuit of short-term goals,conveying assets of domestic enterprise overseas.One of the measures to overcome these impacts is to develop domestic private equity investment.
