| 摘 要： | 本文通过对西方发达国家的公司治理结构进行比较分析,并结合目前我国公司治理结构存在的问题,提出我国公司治理应当优化企业股权结构,增强董事会职能,健全监督机制和激励机制,加强公司治理结构立法体系的建设。

| Abstract: | In this paper, the author analyses comparatively the company management structure of west developed countries and the problems about company management structure of China. Then we should optimize the stock structure of the company, reinforce functions of the directorate, establish the mechanisms of supervision and stimulation, and strengthen the formation of the law systems on the company managmnent structure of China. |
