有限责任公司瑕疵股权转让效力问题研究

我国2005年新修订的公司法虽然设立专章对有限责任公司的股权转让问题予以规制,较1993年公司法有较大的进步,但对公司实务中经常发生的瑕疵股权转让问题并未进行规范,实乃一大遗憾。本文视角主要集中于瑕疵股权转让合同效力的认定和瑕疵股权转让后的瑕疵出资责任分担问题,结合现行相关法律、法规提出相应解决方案。
