国有企业法人治理结构初探

文章认为,国有企业改革是中国经济体制改革的重点、热点和难点,其中关于国有企业法人治理结构问题无论在理论还是在实践上更引人关注,国有企业法人治理结构是国有企业现代化企业制度得以建立的核心,是国有企业组织机构现代化、法治化的关键,而目前我国国有企业法人治理结构存在诸多缺陷,如股权过度集中、董事会运作失范、监事会监督机制弱化、对企业经营者激励不足、约束不力等等,建立科学合理的法人治理结构已经迫在眉睫了。

Study on the corporate governance of state-owned enterprise

The reformation of state-owned enterprise is important ,prevalent and difficult in Chinese reformation of economic system, and we attached more importance to the problem of corporate governance in theory or practice. State-owned enterprise's corporate governance is the center in modernization of business system, and is key in modernization and nomocracy of business structure. At present, there are some problems in state-owned enterprise's corporate governance, for instance, excessiveness concentration of the ownership of share, lack of criterion in the board of directors operation, shortage of control and encouragement for business executive and so on. It is urgent to build the scientific and reasonable corporate governance.
