中国独立董事制度的本土化研究--基于对500家中国上市公司的问卷调查

中国公司治理中存在的某些问题,决定了移植独立董事制度的必要性;但是,"二元制"的公司治理及"一股独大"等特殊国情,又决定了中国必须实现独立董事制度的本土化而不能不加改造的全盘照搬.基于这样的认识,本文在介绍独立董事制度的产生和独立董事在公司治理中的作用后,从基于中国实际的三个方面,着重探讨如何实现独立董事制度在中国的本土化.

On Localization of Independent Director Mechanism in China--Based on a Questionnaire Survey on China's 500 Listed Corporations

It is necessary to transplant the independent director mechanism into China's corporate governance with which there are some inherent problems. But the mechanism has to be localized when transplanted, and can not be copied indiscriminately owing to the domestic conditions, such as dual corporate governance, "one share jumbo" and others. On the basis of this, this paper introduces the coming into being of the mechanism and how it plays its part in China's corporate governance, and, then, makes a probe, in particular, into how to localize the mechanism in three aspects.
