摘    要:市场机制通过价格机制、竞争机制和供求机制等发挥作用并贯穿于市场体系的所有环节.在公司组织与外部各种市场之间,存在着大量的直接或间接的联系.市场力量透过这些联系作用于公司组织,对公司活动产生引导、约束和治理的功效.包括资本市场、产品市场、经理市场等多种形式在内的各种市场都具有某种性质的公司治理功能,都能对公司行为产生影响,并规范其运作.公司治理的市场机制的主要出发点在于弥补公司组织机构的治理不足.

Abstract:The market mechanism takes affects through price mechanism, competitive system and supply and demand mechanism and passes through in market system all links. There are massive direct or the indirect relations between company organization and exterior each kind of market, and the market force penetrates these relation function to company organize and has the guidance, the restraint and the government effect to the company activity, Including the capital market, the produce market, manager the market and so on many kinds of form each kind of market all has some nature corporate governance function to take affects on company behaviors and regulate their operation. The corporate governance market mechanism focus on the insufficiency corporate governance of company organizations institution.
