| 摘 要： | 中国的管理层收购(MBO)作为一种新生事物,正逐步由最初的实验阶段进入快步发展阶段。作为一种制度创新,看到其积极作用的同时,还应关注其在中国上市公司应用中存在的不足之处。为此,分析了实施MBO的政策和法律问题、融资问题、定价问题、运作风险及人才问题,并提出了一些建议。

| Abstract: | As a blessed event,MBO of China is entering into the stage of fast developing from the initial experiment stage.We should pay attention to the shortage of the application of MBO in Chinese corporations when noticing the positive effects as a system innovation.Hence,the paper analyses the policy and law problem、the financing problem、the pricing problem、the operating risk and the human resource problem of the application of MBO.Finally,the paper puts forward some suggestions. |
