To narrow the gap between the rich and the poor in China,the government proposed to increase income of people.Employee Stock Ownership is an effective form of corporate institutional arrangements;it has a positive effect on motivating staff,increasing income and improving business performance.In the actual operation,however,the result is poor.This paper demonstrates how to properly use employee stock ownership system.
