| 摘 要： | 商业特许经营被誉为20世纪最成功的商业模式。其原本属于私法范畴，但国家也有必要对其运作过程中的弊端进行法律管制。国际上存在的典型管制模式包括信息披露、知识产权保护、权利义务关系以及竞争法律模式等。本文在这一基础性的认识上，详细分析了中国《商业特许经营管理条例》的管制模式，认为中国在这方面的立法具备了国际化和现代化的特质，并提出了若干改进建议。

| Abstract: | Franchise is deemed as the most successful business model in the 20th century＇ s , it belongs to the areas of private law, but it is necessary for the state to take legal measures to control the drawbacks in its operation. The typical control pattern includes the model of information disclosure, intellectual property protection, rights and obligations as well as the mode of competition law. On this basic understanding, this paper analyses China＇ s control mode based on ＂Regulations on the Management of commercial franchise＂ in detail, and holds that China＇ s legislation in this field has the characteristics of internationalization and modernization, then make some suggestions for improvement. |
