| 摘 要： | 美国反垄断法随着实践的发展而不断发生变化。以往美国对兼并控制采取一元分析模式，这种分析模式不关注垂直竞争与水平竞争之间的相互影响。当前，美国司法部在兼并控制上采取了二元分析模式修正了传统的一元分析模式。我国十届全国人大常委会第二十九次会议经表决通过反垄断法草案，反垄断法第四章规定了经营者集中，但未具体明确有关标准。美国反垄断法的经验对我国反垄断法的具体实施具有借鉴意义，我国应借鉴美国的二元分析模式对经营者集中进行审查。

| Abstract: | The economy theory has great influence on the antitrust law of America.The old economy theory applies the single-stage model to analyze antitrust,which ignores the interaction between vertical competition and horizontal competition.The dual-stage model modifies the single-stage mode.This article introduces the dual-stage model,and put forward some recommendation on application of antitrust law in China. |
