中国反垄断法的成功与缺陷

在立法指导思想、立法目标、垄断协议、滥用市场支配地位、经营者集中、行政垄断、反垄断委员会、反垄断执法机构及其职责和法律责任等方面，中国反垄断法有成功之处也有缺陷。反垄断法对于深化我国市场经济体制、完善我国市场经济法律体系具有重大的基础性意义，从立法层面上看是比较成功的。但从执法层面上看，反垄断法关于行政垄断的规定无法适用使其蜕变成侵权行为法的特别法，使反垄断法建立统一大市场、维护自由竞争的努力几乎化为乌有。而且几个执法机构不利于建立统一大市场和维护自由竞争。我国反垄断法大体上功过相抵。应当把交易费用学派确立为我国反垄断法立法和执法的指导思想。尽快制定反垄断法实施细则或者反垄断法指南，使垄断法更具有可操作性。

The Successes and Defects of Antitrust Law in China

In terms of legislative guidance, legislative objective, trust agreement, the abuse of market dominance, manager＇s merger, executive trust, antitrust conmfittee, antitrust enforcement agency and its legal duties, China＇s antitrust law has both successes and defects. Antitrust law has important and fundamental meaning in deepening China＇s market economy system and improving China＇s legal system of market economy. So China＇s antitrust law is successful with respect to the legislation. But as to the enforcement, the unable application of executive trust system of China＇s antitrust law enables to transmute it into the particular one of tort law, which makes nearly nothing for the effort to set up unity market and to preserve free competition. Moreover, the enforcement agencies are unfavorable to set up unity market and preserve free competition. The successes of China＇s antitrust law are generally equivalent to its faults at large. The school of trade expense should be established as the guidance of legislation and enforcement of China＇s antitrust law. It is imperative that the enforceable details and the antitrust guidance should be established for making the antitrust law more operational.
