跨国公司控制合资子公司的机制探析

本文通过系统性思维,构建出跨国公司(MNC)母公司对合资子公司(JV)的控制机制框架;根据现有文献和实践的最新发展,对股权控制和非股权控制做了补充;为了进行更深入和系统的研究,尝试提出股权控制和非股权控制之间的互动关系、内部控制、外部控制等问题,并进行一些基本的探讨,为MNC母公司对JV的控制机制提供一个较为完整的视角。

Research on the Mechanism of MNC's Control of Joint Ventures

Through systemic analysis, this paper constructs a controlling mechanism framework of MNC parent firms' control of joint ventures. According to existing literatures and latest developments of experiences, this paper supplements equity control and nonequity control. For the sake of more detailed and systemic research, this paper makes some fundamental studies and tries to put forward interactive relations between equity control and nonequity control, and internal control and external control. The control mechanism framework provides a relatively integrated perspective for MNC parent firms' control of joint ventures.
