| 摘 要： | 公司内部治理是公司投资者保护的重要手段,其中股权结构、董事会制度、经营者激励是组成内部治理的重要要素。本文分析了股权结构、董事会制度和经营者激励与投资者保护的关系,研究了三种关系之间的联系,并指出要统筹考虑三种关系,构建竞争型的大股东股权治理结构,培养机构投资者,完善独立董事制度,推广经营者股票期权制度,切实保护投资者利益。
