从独立性角度论我国独立董事制度的完善

独立董事制度是公司治理结构中一项重要的制度,然而运行至今这一"舶来品"由于我国监事会这一特殊公司治理二元结构的特点,在实际运行中仍存在许多问题。试从分析独立董事"不独立"这一普遍现象入手,阐述我国独立董事制度的内容、实施现状、存在问题,探究其"不独立"的根本原因,并对应作出完善选任制度、协调好与监事会的关系、建立协会等方面建议,从而完善我国独立董事制度,使其真正能够实现制度设立的最初目的。
