论我国的期股、期权激励制度

摘    要:建立有效的激励约束机制,是公司治理结构的核心问题。期股、期权制度作为国际上通行的一种长期激励手段,在调动经营者积极性,促使其努力实现股东利益最大化方面具有重要的作用。近年来,我国在深化企业改革的过程中也逐步开展了期股、期权制度的探索和尝试,在一定程度上起到了对经营者的激励作用。然而,在试行期股、期权制度的过程中也遇到了许多现实问题,亟需我们加以研究和解决。

Abstract:The establishment of an effective incentive and restraining mechanism is the key issue of corporate governance. As a long- term incentive measure commonly adopted internationally, futures stock and stock option system has been playing an important role in stimulating management' s initiative to maximize shareholders' interests. In recent years, futures stock and stock option system has been adopted gradually in China on a trial basis in its efforts to deepen the enterprise reform. This, to some extent, served as a stimulus to the management. However, many problems were encountered in this trial process, which need urgent study and solution.
