上海自贸区“负面清单”若干问题及对中美BIT的启示

上海自贸区＂负面清单＂是中美BIT协定＂负面清单＂的先试先行。目前,我国对＂准入前国民待遇＂和＂负面清单＂开放模式还处于探索时期,对＂负面清单＂能否包括目前不存在的部门和领域、内容的可更改性、地方政府的保留权限以及对内容的解释方法的理解还不够透彻。这些问题都为将来国际投资纠纷埋下了隐患。我国作为重要的投资接受国,在与美国进行BIT谈判时,应保留将本国尚未出现的产业列入＂负面清单＂的权利;保留有条件的改变负面清单的权利;采取＂民族自治区＂与＂大陆地区＂的差别对待方式;以及采取严谨措辞加兜底条款的表述方式。

Shanghai Free Trade Zone Negative List and Understand the Settlement of the Dispute on the Issues in Negative listings of the Shanghai Free Trade Zone and the Revelations for the future BIT between China and the USA

The Negative Listings in Shanghai Free Trade Zone has important revelations for the future negotiating BIT between the Sino-American, but its nature needs to be studied. Some questions like the non-existent fields and sectors, alterabili- ty of the contents, fights from local governments and the interpretation of the content still remain problematic in the Negative Listings. China is a great and impressive country, when we negotiate with the US for the future BIT. We should take into ac- count including the aspect of non-existent fields and sectors in Negative Listings, reserving the rights to change the contents, and offering different treatments in different jurisdictions in China, and make a rigorous expression of Negative listings.
