| 摘 要： | 投资鼓励在各国外资立法中被普遍采用，但有关其存在的争议却持续不断，投资鼓励在当今国际投资环境下，的确带动了外资的引进，但是在倡导国际投资自由化的全球经济形势下，又应当对其进行适度限制，既承认投资鼓励体现着东道国重要的政策目标，也应当最大限度地减少投资鼓励对国际资本流动的扭曲性影响。
