| 摘 要： | 介绍了我国关于公司赔偿责任法律规定的发展历程,对出资不到位进行了界定,指出关于出资不到位股东对公司债权人的赔偿责任在我国尚没有明确规定,相关的行政法规和司法解释则又因事而设,没有形成统一的责任规则。根据民法、公司法的原理,结合司法实务,提出了相应的对策。
