关于国有公司治理结构规范化的思考

国外学者的研究集中于所有权与控制权的分离、控制权的转移、现代公司两权分离的历史演进过程、制度安排等方面,已形成一系列研究成果。中国公司治理结构存在的突出问题是股权集中度高、内部人控制现象严重、监督机制不健全等,为此,国有公司治理结构应在符合国情的前提下,实施产权多元化政策,落实监管职责,实施有效的约束机制等,加快公司治理结构规范化的进程。
