跨国公司在华并购:一个资源观的视角

新建投资和跨国并购是跨国公司获取外部资源的两种重要方式。与新建方式只是跨国公司利用既有资源优势获取目标市场竞争性资源相比,对外并购则是跨国公司获取异质性、非竞争性资源的重要途径。跨国公司在华并购的主要目的在于获取我国地域的特定资源。这种并购具有限制竞争、垄断我国市场的倾向,在长期内将对我国经济安全产生重大负面影响。因此,必须对跨国公司在华并购进行必要约束,保持国内产业的自主性,维护国家经济安全。

Transnational Company's Acquisition in China: From a Resource Point of View

Green-field investment and transnational acquisition are the most important modes that transnational companies employ to acquire resources. Compared with green-field investments that only acquire competitive resources of target markets by making use of existing resources advantages, transnational acquisition is an important way to acquire heterogeneous, noncompetitive resources. Some transnational acquisitions in China tend to restrict competition and to monopolize China′s market, which will have enormous negative effect on our economic security in long term. Therefore, measures must be taken to regulate transnational acquisitions in China, to maintain indusial independence and to protect national economic security.
