公有制下的公司治理:特殊性与规范化

现代公司的两权分离产生了公司治理问题。20世纪80年代以来掀起的国际性的公司治理浪潮推动了公司治理问题的理论研究和实践探索。然而,国外学者的研究针对的是私有公司,国内学者的研究则往往拿中国的国有公司同发达国家的公司简单类比,忽略了对公有制、国有公司及公司治理的文化背景的特殊性等研究。为弥补这一缺陷,应当从已有的国内外学者的研究成果出发,探索中国国有公司治理的特殊性,并据此提出规范中国国有公司治理的建议。

The Peculiarity and Standardization of Corporate Governance under Corporate System

The separation of ownership and control gives rise to the problems in corporate governance. The international tide of corporate governance since 1980s has stimulated the theoretical and practical research on corporate governance. Nevertheless, the object of foreign researchers is private corporations, but Chinese researchers frequently make a simple comparison between China's state-owned and foreign corporations, neglecting the research on such peculiarities as public ownership, state-owned corporations and the cultural background under which corporate governance is performed. This article, based on the current research by foreign and domestic scholars,explores the peculiarities in the governance of China's state-owned corporations and then proposes how to standardize the governance of those corporations.
