| 摘 要： | 我国2006年修订的《合伙企业法》建立了有限合伙制度,有限合伙的优势在于结合了公司和普通合伙两种企业制度的优点,呈现出独特的法理特征——"两种不同性质出资,两种不同性质责任、两种不同性质合伙人并存"。但本次修法,在把握"两种制度"的结合上还存在不足。因此,文章结合我国实际对"两种制度"的适用条件、有限合伙中两种责任、两种合伙人的转化等提出若干建议,以期进一步完善我国新的《合伙企业法》。

| Abstract: | The law system of limited partnership is formulated in China's 2006 revised Law of Partnership Enterprise. The key of limited Partnership is proper combination of two systems, that is, limited liability system and the factor of ordinary partnership. Its jurisprudential characteristic is the coexistence of two different kinds of capitals, legal liabilities and partners. However, there are still some defects with China's present legislation of limited partnership regarding to the combination of two systems. This paper gives some suggestions about how to improve the system of limited partnership concerning the condition of two systems, two different kinds of liabilities in limited partnership, provisions of transferring and withdrawing of two different kinds of partners. |
