| 摘 要： | 私营企业组织形式的演变是长期制度选择和市场竞争的综合结果。当企业注册资本较小,企业主对企业组织形式的理性选择次序依次是独资、合伙和公司制;当企业注册资本或产值提高到一定程度,企业主的理性选择次序依次是公司制、独资和合伙制。公司制已经成为私营企业组织形式的最主要组成部分,独资制次之,合伙制逐渐边缘化,成为私营企业组织形式的一种补充。

| Abstract: | The evolution of private enterprises'organization is the result of long-term institutional selection and market competition. The best choice of organization for a private enterprise with small registered capital is sole proprietorship, second by partnership and corporation. When the registered capital or output reached a certain degree, the rational choice will be corporation, followed by sole proprietorship and partnership. Corporation becomes the major form of organization for private enterprises, while the other two working as supplementary. |
