| 摘 要： | 新《公司法》放宽了公司转投资对象的限制,也取消了投资额的比例限制.这一改变有利于公司发挥自主经营权,也有利于我国经济的繁荣和发展.然而,为了限制公司转投资产生的消极影响,我国《公司法》应该增加公司章程的例外规定、相互投资的信息披露及表决权限制、程序方面以及法律责任的规定.

| Abstract: | The new Company Law loosens the restraints about object of reinvestment and cancels that about proportion of reinvestment. This change would display the independent right of management of corporation and benefit the economy. However, in order to eliminate the disadvantages of reinvestment, Company Law should add regulations about exceptive regulation, publication of mutual investment, limitation of vote, procedure and legal liability. ent |
