Analysis of Validity on Corporate Governance Models and Its Inspiration to China

On the basis of analysing the validity on market lead model of corporate governance in Britain and America as well as bank lead model of corporate governance in Germany and Japan, this paper presents the conditions that a sort of governance model ought to satisfy to acquire good governance efficiency. Integrated with the reform of equity division, the new corporation law, securities law and implementing suggestions on further criterion of state-owned enterprise restructuring, the author puts forward some more measures like optimising structures of ownership, vigorously fostering qualified investors of organization, perfecting operator control models in corporate governance structure, exert- ing the functions of bank in corporate governance, and consummating the independent director system together with exterior supervision mechanism, in order to form Chinese characteristic corporate governance mechanism.
