| 摘 要： | 从一般理论意义上，企业制度应区分为企业制度一般和企业制度特殊。由于公司治理模式的主要根源在于各国制度环境的异质性，因此公司治理模式具有非普适性。和谐竞争理论、特定基本经济制度和家化传统将决定中国公司治理模式的特色。

| Abstract: | Generally speaking, the enterprise system can be divided into general enterprise system and special enterprise system. Since the corporate governance model roots from the heterogeneity of various institutional environment, it presents the nature of non-universality. The corporate governance with Chinese characteristics depends on the harmonious competitive theory, special basic economic system and family cultural tradition. |
