Discussion on the Law Application and Perfect Measures of the Regaining Right of the Listed Company

This article defines the legal system about the regaining right of the listed company,whose aim is to prevent the company directors,the supervisors and the senior manager form breaching of duty of loyalty and the occurrence of insider trading. Based on this, the paper analyzes the conditions and the ways to exercise the regaining right of the listed company, puts forward a corresponding improvement measures to further improve the legal system.
