| 摘 要： | 本文以上海证券交易所上市的公司为样本，在独立董事的年龄、学历、职称等方面对我国独立董事的现状进行了较为详细的统计分析，得出了一些有益的结论，并针对我国现有独立董事制度的缺陷提出了若干完善意见。

| Abstract: | This Research makes extensive statistical analysis of the current independent director system focusing on age, education and title of independent directors through studying the selected sample of listed companies on the Shanghai Stock Exchange. Based on the analytical results we draw the relevant conclusions and make several proposals to improve the current independent director system. |
