| 摘 要： | 当前,治理中央企业具有相当高的复杂性。从治理的逻辑程序讲,必须分两个层次,首先理清国家对中央企业层次的治理,然后理清中央企业内部的治理。在国家治理层次不允许中央企业上市发行股票的前提下,国家对竞争类中央企业的治理原则应是政企分开。使竞争类中央企业在市场经济中成为相对独立的商品生产者与经营者;国家对非竞争类中央企业的治理原则应是政企不分,使非竞争类中央企业紧密地接受中央政府的直接控制。至于中央企业的内部治理模式,竞争类中央企业的治理应是实行法人占有制的企业制度,非竞争类中央企业的治理应是依照专门制定的特殊法的规定执行。
