| 摘 要： | 近些年来独立董事制度的运行在我国取得了相当的成效,对于完善我国公司治理结构起到了很大作用,但是在实践中,也存在着独立董事信息不对称,激励不足,独立性难以确保等缺陷。文章对这些不足之处进行分析,从完善发挥法律作用,完善制度建设等角度提出了一些完善建议。

| Abstract: | In recent years,the system of independent directors has been operated so well to improve the corporate governance structure in our country.However,there are also some problems in practice such as information asymmetry,lack of motivation and so on.This paper discusses these deficiencies and puts forward some suggestions in developing effect of laws and improving system construction. |
