| 摘 要： | 股东查阅权行使规则包括主体资格规则、查阅对象范围规则和正当目的规则。文章以公司契约理论为理论工具,对股东查阅权行使规则进行了契约解释,揭示出股东查阅权行使规则的经济逻辑首先在于减少信息不对称、减少监督成本、强化股东监督以减少代理成本,其次在于防止股东滥用权利行使机会主义行为损害公司利益。我国股东查阅权立法应当正确地反映股东查阅权行使规则的经济逻辑。
