This paper firstly reviews the literature on human capital,material capital and enterprise ownership arrangement,bringing forward the view that human capital should acquire the enterprise ownership as material capital.On the basis,this paper analyses the insider ownership arrangement of corporation and venture capital enterprise.We consider that all kinds of ownership arrangement is the embodiment of human capital which acquires enterprise ownership.With the development of productivity and the consummation of relevant system,it is the trend for human capital to acquire enterprise ownership.
