| 摘 要： | 资本结构不同，企业各相关利益者的权益不同，进而企业的治理结构不同并产生不同的效率。转轨前财政主导的融资结构导致公司治理结构效率低下。转轨期企业融资开始向金融导向型的市场模式演进。公司制改造给企业融资结构带来极大变化，公司治理效率也有了改善，但是由于产权制度的不完善，资本结构与公司治理效率仍存在不少问题。
