| 摘 要： | 分成制教育金融制度创新的本质是资金供求双方合作性质的创新，但单个供资方会面临非系统性风险、甄别能力、增值服务能力等诸多方面的问题。股权投资基金制度具有解决这些难题的功能，将该制度引入分成制教育金融制度是更为深刻的金融制度创新。一方面，基金特征可以放大分成制下教育金融的优势功能；另一方面，投资对象由企业转化为人力资本积累者，表明基金现金流回报基础的变化。这表明基金经理人应当具有基于现金流回报的特定的尽职调查能力。
