自然人电子订约能力问题探析

电子订约的特殊性不足以全面否定传统的民事行为能力制度,但完全适用的观点也没有考虑到电子订约的特殊性。对自然人的电子订约能力问题应当区别经营主体和非经营主体进行讨论。如果经营者确有合理理由相信非完全民事行为能力人有相应的行为能力时,不应否定合同的效力,当然该非完全民事行为能力人仅负有以合理价格付款的义务。身份认证等措施有助于预防电子订约能力纠纷的发生。

The particularity of electronic contracting may not be enough to refuse the applicability of the traditional legal system for contracting capacity except that the merchant has reasonable trust about the natural person's contracting capacity on condition that the natural person has the right to pay the goods at a reasonable price.Chinese legislation on civil capacity should be completed and give consumers the right to confirm the transaction in business in order to prevent relevant disputes.
