美国《统一商法典》价格待定条款的价值——兼论对中国立法的启示

现代商业模式的转变对商法提出了新的要求,传统商法中一些较为僵硬的规定已经成为阻碍贸易发展的因素,不能够适应商业发展的新要求。文章评析了美国《统一商法典》价格待定条款在适应现代商业模式转变的需要、尊重契约自由原则、实现实质正义、公平与促进贸易发展方面的价值。并通过法经济学分析了其存在所依据的经济基础。结合国际统一合同法的发展趋势,建议我国合同法对此方面加以完善,进而与国际接轨。
