| 摘 要： | 当股权分置改革完成之后,并购问题必将再次成为一个热点。粤美的管理层收购的成功,被人们称为我国"第一例成功的MBO",鉴于粤美的MBO脉络清晰,而且MBO后的治理结构比较具有代表性,本文对其进行了详细研究,希望能对以后的企业改制有所借鉴作用。

| Abstract: | Merge＆ acquisition must become a focal point again after the reform of shareholder’s rights division.The success in MBO of MeiDi Company is called the first successful MBO in China.For its clear process and representative character in governing structure,study is done in the paper.Some suggestions are made in the end for the help of company governing in the future. |
