一次突破顶层投资政策壁垒的尝试——三一重工关联公司起诉CFIUS和奥巴马政府案例的启示

2014年7月15日,美国哥伦比亚特区联邦上诉法院就中国三一重工关联公司Ralls状告美国总统奥巴马及美国海外投资委员会(CFIUS)一案做出裁决,判定奥巴马政府侵犯了中资公司的合法权利,驳回政府以国家安全为由的政策性干预。尽管打破这种投资政策壁垒的过程一波三折,尽管对打破美国投资政策壁垒的前期预期压倒性看衰,但该诉讼的阶段性成果有多重层面的超出预期。更有诸多值得我们细致发掘的启示——不能用过往代替未来;不能在消极的习惯预期下形成悲观的心理暗示;过程很重要,主动是关键;即使败诉也未必就是坏事,它能让我们增长见识、自省不足、还能变相提高企业知名度;师夷长技以制夷——在法治国家必须使用法制手段;更重要的是该经验可以放大成为把投资政策壁垒撕开一道裂口的尝试。

On July 15, 2014, the United States Court of Appeals for the District of Columbia Circuit ruled that in the case that Ralls which is affiliated to China＇s Sany Heavy Industry sued US President Barack Obama and CFIUS, the Obama administration has violated the legal rights of Chinese companies. Although the process of breaking the investment policy barrier could be quite twisted , and nobody believed that Ralls could win it at the beginning, he lawsuit＇s achievements have been more than expected. There are also many more worthwhile enlightenments for us： the future should not be substituted for the past; It is unwise to keep pessimistic suggestions under negative impact; process is very important, and positiveness is the key; lose of this lawsuit is not necessarily a bad thing, but it could let us see the world, introspect our shortages, even could increase the awareness; mastering the skills of opponent than beat it; more important it is a great taste to break the barriers to investment policies.
