| 摘 要： | 目前，家族企业中存在着契约治理和关系治理相结合的治理模式。就中国的家族企业而言，在初创期，董事会、经理层和家族成员大多是合三为一的，适宜采取关系治理，主要借助家族内部的信任、关系网络等资源进行治理；企业进入成长期和成熟期，内部所有权逐渐明晰以后，董事会的作用会凸显出来，适宜采用契约治理。在这一过程中，所有权的变迁是关键。现阶段中国的家族企业，其家庭价值观念强、企业规模小、家族控股多的，宜实行关系治理模式；而董事会功能健全、企业规模大、家族控股少的企业，则应该实行契约治理模式。
