| 摘 要： | 上市公司的独立董事制度是为解决“内部人控制”的问题而产生的,经过几十年的运行,它在完善公司治理结构、保护中小投资者的利益等方面起到了一定的积极作用,但它还存在着某些不足。本文首先说明了独立董事制度的执行现状,其中主要强调了其不尽如人意之处,然后分析了产生问题的原因,进而提出了改善对策,即实行独立董事的委派制。
