摘    要:实现资源和能力的有效转移是跨国并购后期企业管理决策的核心内容。资源和能力转移的有效与否,直接影响企业跨国并购的经营绩效。资源和能力转移的有效性问题涉及运作机制和影响因素两个方面。本文从资源和能力观视角,分析了并购双方资源和能力转移有效性的运作机制,探讨了影响并购后企业资源和能力转移有效性的主要因素,以期对中国企业实施跨国并购战略有所启示。

Abstract:The effective transference of resources and capacities is the core of the company′s management decision after transnational merger and acquisition.Whether the transference of resources and capacities is effective influences the management achievement of the company′s merger and acquisition.The problem of effectiveness involves two parts,the management mechanism and the influencing factors.Based on the perspective of resources and capacities,the paper analyzes the management mechanism of the transference effectiveness of resources and capacities of the two parties in merger and acquisition,and explores the main factors influencing the effective transference of company′s resources and capacities after merger and acquisition in order to give some enlightenments for Chinese companies in transnational merger and acquisition.
