| 摘 要： | 公司是社会化大生产和商品经济发展到一定阶段的产物,公司设立则是公司成为独立法人的必经阶段。笔者以公司法基本法理为基础,针对我国公司设立的法律意义、公司设立的机制与原理等基本理论问题进行了研究和探讨,并在公司法即将修改的大背景下,就公司设立的相关立法问题提出了自己的构想,以期为我国新公司法的确立提供借鉴作用。

| Abstract: | Companies are the products of social mass production and economic development. The establishment of a company is the necessary stage for a company to become an independent legal entity. Based on the basic principle of company law, the author points out the basic concept, essence of behavior and importance of law in company establishment, making further some discussions on mechanisms and principles in company establishment. The paper putting out some conceive of company establishment for the will-be amended company law. |
