| 摘 要： | 我国国有控股上市公司目前在独立董事制度中存在着独立董事对公司的关注不够,独立董事的信息劣势及独立董事构成偏低等问题。完善独立董事制度,当前要提高独立董事的任职能力,提高独立董事在董事会成员中的比例,建立独立董事与中小股东信息沟通制度等。

| Abstract: | There are some problems existing in the system of independent director in our state-owned holding companies,such as insufficient concern for the company,unfavorable position in receiving information,and the low proportion of independent director etc.To perfect independent director system,we should promote their ability,improve the proportion of the members of independent directors and establish exchange system between independent director and medium and small stockholders. |
