| 摘 要： | 本文以2004年初深沪证券交易所实施了独立董事制度的全部A股上市公司为样本，研究了独立董事是否影响公司业绩的问题。结论是独立董事对公司业绩的影响非常有限，具体为：独立董事制度对会司总资产收益业绩指标虽产生了一定影响，但相关性非常弱，而对公司净资产业绩指标缺乏产生显著影响。二者之间没有统计意义上的相关性。

| Abstract: | Based on the samples of listed companies adopting independent director system in Shenzhen and Shanghai Stock Exchange in 2004,this paper studies the possible influence of this system on companies' performance.Evidence shows that it has only limited effects on the performance index of the gross assets profit,but barely on net assets profit. |
