公司治理与技术创新的相关性综述

公司治理决定了必要的创新资源供给,CEO激励、董事会及监事会设置等治理要素都会影响创新投入、创新方式及创新绩效。通过治理结构变革来推进技术创新,是增进企业活力、改善企业绩效的重要途径。近些年,公司治理与技术创新的相关性研究积累了丰硕的研究成果。采用文献梳理的方式,从公司治理的激励机制、监督机制、外部接管机制等方面综述了国内外相关研究成果,研究发现,现有文献的研究内容涵盖面广,研究结论多样;变量测量差异性大,研究方法较为单一;但现有文献尚存在以下不足:缺乏对影响机制的深入探讨;忽视创新主体——经营者的影响,对治理结构的"资源效应"重视不足。

Researches on Relevance between Corporate Governance and Technological Innovation Based on Literature Review

Corporate governance determines the supply of necessary innovation resources.The governance elements such as incentives for CEO,the Board and the Supervisory Board,will affect investment,methods and performance of innovation.To promote technological innovation,the change of governance structure is an important path to enhance the vitality of enterprises and improve performance.In recent years,researches on relevance between corporate governance and technological innovation have accumulated abundant research results.This article summaries related literatures home and abroad,finds that existing literature covers a wide range of contents,various conclusions,different method to measure variables,and rather single research method.There are also some deficiencies existing,such as lack of depth on the impact mechanism,neglected the CEO’s influence and the "resources effect" on the governance structure.
