公司经理权的界定及其在我国的法律完善

公司经理权作为一种特殊的民商事权利在我国先行法律中并没得到很好体现。本文从考察各国有关经理权的法律规定入手,对公司经理权的内容、行使方式及其限制进行了深入细致的探讨。并对我国公司经理制度的完善提出了一些自己的建议和思考。认为对经理权的立法应从民法和商法两个层面分别作出规定,并将我国公司法上的经理职权改成经理权,并适当扩充其权利内容。

On the Management Right of Corporation and Its Legal System in China

As a kind of special civil and commercial rights,the management right of corporation has not been well regulated in our present legal system.In this article,the authors discuss the connotation,exertion and limitation of the management right of corporation in detail from the perspective of comparative law, then give their own thoughts and proposals on the perfection of the system of management right in China.It is regarded in this article that the legislation of management right should be respectively regulated from two aspects of civil law and commercial law,and that the words "management power" in the text of China's Corporation Law should be replaced by "management right",and its connotation should be extended.
