| 摘 要： | 实行独立董事制度对我国上市公司治理结构的完善和资本市场的稳定发展发挥了重要作用,但在实践中该制度还存在着诸多问题,需从独立董事的选任方式、激励和约束机制、诉讼权以及队伍建设等方面加以完善。

| Abstract: | The implementation of independent director system plays an important role in the perfection of governance structure and the stable development of capital market in our listed companies,while in practice,there exist some problems.We should improve it from the election of independent director,the incentive and restrictive mechanism,right of action and the establishment of staff members. |
