我国管理层收购的行为是一种管理层收益，其他利益相关者——股东、债权人、职工等利益受侵害的过程。其根本原因是相关法规不健全，其直接原因是信息不对称、国有资产所有者缺位以及普通职工和小股东处于弱势地位。其后果是管理层收购违背企业共同治理，不利于提升企业的价值，在企业中也有不良的示范作用。
