对我国一人公司的立法思考

一人公司与独资企业有着明显的区别。一人公司的法律地位在我国公司法中未得到确认 ,主要是传统公司法坚持公司的社团性。我国目前有大量的一人公司存在 ,应在《公司法》中明确一人公司的法律地位。应明确规定一人公司最低资本金的数额 ,严格资本充实原则 ,公开公司营运状况。

Study on One Man Company Enactment of China

There are distinct differences between one man company and sole proprictorship,The reason why the legal position of one man company is not approved in our company law is that we hold firmly the principle of the company's corporate attribute of the traditional company law theory.Nowadays a lot of one man companies exist in our country. Therefore,the legal position of one man company should be made clearly in company law.Meanwhile,the sum of one man company's minimum capital should be regulated exactly;genuine capital principle should be reinforced and the management situation should be available to the public.
