| Abstract: | Independent director systems have negative and positive ,although existing a lot of problems ,but can improve the Chinese listed corporations governance mechanisms,especially the board of directors mechanisms shall play importance role. Therefore ,we should develop the law systems, incentive and constraint mechanism,independency and in-out management .All these aim to perfect the independent director system in Chinese companies on stock. |
